1. Agreement to terms
These Terms of Service (“Terms”) govern your access to and use of the Shelfwise application and website (the “Service”), provided by Shelfwise, Inc. By requesting access, creating an account, or using the Service, you agree to these Terms. If you are agreeing on behalf of a company, you represent that you have authority to bind that company.
2. The service
Shelfwise provides cloud-based warehouse and inventory management, including stock tracking, reorder points, purchase orders, cycle counts, and barcode workflows. Access is currently offered on an invite-only basis. We may add, change, or remove features over time, and we will give reasonable notice of material changes that adversely affect core functionality.
3. Accounts & access
You are responsible for the accuracy of the information you provide, for the activity of users in your workspace, and for keeping credentials secure. You must promptly notify us of any unauthorized use. Each user must be a named individual; sharing a single login across people is not permitted. We may suspend access that we reasonably believe is compromised or in breach of these Terms.
4. Fees & billing
Paid plans are billed per active warehouse location, monthly or annually, at the rates on our pricing page or in your order. Fees are payable in advance and, except where required by law, are non-refundable. You may add or remove locations at any time; changes prorate to your next invoice. We will give at least thirty days’ notice before a price change takes effect for your account.
5. Your data
You retain all rights to the data you put into the Service (“Customer Data”). You grant us a limited license to host and process Customer Data solely to provide and support the Service. We handle personal information as described in our Privacy Policy. On termination you may export your Customer Data for a limited period, after which we may delete it.
6. Acceptable use
You agree not to misuse the Service. In particular, you will not:
- Reverse engineer, resell, or provide the Service to third parties except as expressly allowed;
- Upload unlawful content or data you do not have the right to use;
- Interfere with the integrity or performance of the Service, or attempt to gain unauthorized access;
- Use the Service to build a competing product or to exceed documented API rate limits in a way that degrades the Service for others.
7. Availability & support
We aim to keep the Service available around the clock and publish incidents on our status page. Network plans may include a written uptime commitment. We provide support by email to all customers, with priority handling for higher plans. Planned maintenance is scheduled to minimize disruption and, where practical, announced in advance.
8. Warranties & disclaimers
We provide the Service with reasonable skill and care. Except as expressly stated, the Service is provided “as is” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Shelfwise supports your inventory operations but does not replace your own controls, counts, and judgment.
9. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, or consequential damages, or for lost profits or lost or corrupted data arising from your own failure to maintain backups. Our total liability for any claim arising out of these Terms will not exceed the fees you paid for the Service in the twelve months before the event giving rise to the claim.
10. Term & termination
These Terms apply for as long as you use the Service. You may cancel at any time from your workspace settings; cancellation takes effect at the end of the current billing period. We may suspend or terminate access for material breach that is not cured within a reasonable period, or immediately for serious misuse. Sections that by their nature should survive termination will do so.
11. Changes & contact
We may update these Terms from time to time. If a change is material, we will notify account admins by email or in-product before it takes effect.
